This database is a work in progress. This page explains what users should be aware of while using this data.
Different filers describe the same company or proposal differently. For example, BlackRock might list "Microsoft" as "Microsoft Corporation", while Vanguard uses "Microsoft Corp." — a common issue in proposal descriptions, which may vary widely across filers.
We attempt to standardize these inconsistencies to support bulk analysis and database searching. However, we do not guarantee their accuracy. For transparency, we display both standardized and original ("as-filed") values side-by-side.
Approximately 6% of filings do not strictly adhere to the SEC's form N-PX specifications, and resulted in parser errors. In other words, the votes reported in those filings did not (currently) make it into this database. We are working to include them in the near future.
N-PX/A filings (amendments) are also not currently included in this database, although they are rare. They will also be incorporated in the future.
The "Voting Institution Name" column shows the legal filer of the Form N-PX, which can differ from the manager that actually directed the votes (e.g., an ETF trust reporting on sub-advised series or a master–feeder structure). Before attributing voting decisions, verify the underlying fund or adviser listed in the prospectus or other SEC filings.
A small percentage of N-PX filings (≈2%) are designated as "N-PX Amendments": updates to prior filings that typically involve only minor clerical modifications or the inclusion of a few voting records that were left out of the original. A small minority may add a larger block of previously omitted votes, but wholesale rewrites are rare. These "N-PX/A" filings are not currently parsed into this database, although they will be in the future.
